"Agency", "we", "us", or "our" refers to Synap Growth Agency, registered and operating from 1603, Marina Plaza, Dubai Marina, Dubai, UAE.
"Client", "you", or "your" refers to the individual or company engaging our services or using this website.
"Services" refers to digital marketing services including, but not limited to, SEO, Google Ads, paid social media advertising, performance marketing, web design, and related consulting.
The specific scope, deliverables, timelines, and fees for Services will be agreed in a separate written proposal or service agreement between the Agency and Client. These Terms operate alongside any such agreement; in the event of a conflict, the signed service agreement takes precedence.
We reserve the right to modify, suspend, or discontinue any service offering at any time. We will provide reasonable notice of material changes to ongoing engagements.
Certain services, including SEO, are provided on a retainer basis with a minimum commitment period (typically 6 months). This minimum is stated in the service proposal and invoice. The rationale is that SEO and similar performance services require sustained effort to produce measurable results; shorter engagements do not deliver meaningful outcomes.
Early termination of a retainer engagement does not entitle the Client to a refund of fees already paid for the minimum commitment period.
Where the Agency manages paid advertising on behalf of the Client (Google Ads, Meta, TikTok, Snapchat, etc.):
All intellectual property (logos, brand assets, content, data) provided by the Client remains the property of the Client. The Client grants the Agency a licence to use these solely for the purpose of delivering the agreed Services.
Upon receipt of full payment for the relevant engagement, the Agency assigns to the Client all rights in creative deliverables (ad creatives, website copy, landing pages, reports) produced specifically for that Client. Any tools, templates, frameworks, or methodologies developed or used by the Agency remain the Agency's intellectual property.
The Agency may reference the Client's brand name and describe campaign results in anonymised or approved case studies and marketing materials, unless the Client requests otherwise in writing.
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Digital marketing results depend on many factors outside the Agency's control, including platform algorithm changes, market conditions, client budget, product quality, and competitive landscape. The Agency provides professional services on a best-efforts basis and does not guarantee specific outcomes (rankings, revenue, return on ad spend, leads) unless explicitly stated in a signed agreement.
To the maximum extent permitted by applicable UAE law:
Either party may terminate an ongoing engagement by providing 30 days' written notice, subject to any minimum commitment period stated in the service agreement. The Agency may terminate immediately if the Client breaches these Terms or fails to make payment after a 7-day cure period.
Upon termination, the Agency will provide the Client with access to all campaign data and deliverables paid for up to the termination date.
This website is provided for informational purposes. You may not use it to transmit harmful, unlawful, or infringing content. We do not warrant that the website will be uninterrupted or error-free. We reserve the right to update or remove content at any time.
These Terms and any disputes arising from them are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. The parties agree to attempt to resolve disputes amicably in the first instance. If unresolved within 30 days, disputes shall be referred to the courts of Dubai, UAE.
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect changes. Continued use of our Services following notification of changes constitutes acceptance of the updated Terms.
